Terms of Service for Partners

1. Eligibility

1. You must be at least 18 years old to open a Seller account.
2. If acting on behalf of a company, entity, band, label, or other group ("Artist Entity"), you represent that you have authority to bind the entity and any represented artists ("Represented Artist") to these Terms.
3. Melomaniac may refuse service to any person or entity or change eligibility criteria at its discretion.

2. Account Responsibilities

Provide accurate and complete information when registering, including:

• Business name and registration number, or, in the case of a private individual, a government-issued personal identification number, as applicable in the seller's country of residence
• VAT number (if applicable)
• Contact details and bank account information

2. Maintain the confidentiality of your account credentials and are responsible for all activity under your account.
3. Comply with all applicable laws, including:
   • Data protection (GDPR and other international privacy laws)
   • Tax and customs regulations
   • Consumer protection laws

3. Products, Tickets, and Listings

Sellers may list:

• Tickets to events
• Physical products (LPs, CDs, merchandise, apparel, etc.)
• Digital products (MP3s, digital albums, etc.)

Sellers are fully responsible for:

• Accuracy of descriptions, pricing, availability, and product content
• Legal ownership and authorisation to sell the products or tickets
• Compliance with applicable local laws (e.g., export restrictions, age restrictions, prohibited items)
• Fulfillment, shipping, and delivery of physical products
• Delivery of digital products securely and legally

Melomaniac may remove or suspend listings that violate laws, these Terms, or Platform policies.

4. Payment and Fees

1. Sellers may use Melomaniac solely as a directory, by creating a listing for their business profile without offering tickets or products for sale through the platform. In such cases, creating and maintaining a listing is free of charge.
2. Melomaniac charges a commission on each sale according to the fee schedule.
3. Payments are processed via third-party payment service providers. Applicable fees are deducted prior to transferring proceeds to Sellers.
4. Sellers are solely responsible for:
   • Any VAT, taxes, duties, or other governmental charges related to their sales;
   • Any currency conversion costs, banking fees, or payment processing or banking fees applied by financial institutions or payment providers.
5. Any payment disputes, chargebacks, refunds, or claims related to tickets or products are the responsibility of the Seller, unless mandatory law provides otherwise.

5. Data Privacy and GDPR Compliance

1. Sellers act as data controllers for Buyer information collected during product or ticket sales.
2. Melomaniac may act as a joint controller (for ticket sales and event participation) or processor (acting strictly on Seller instructions, e.g., for organiser-defined registration fields).
3. Sellers must obtain all necessary consents from Buyers for data collection and processing, provide required privacy notices, and comply with GDPR and other applicable privacy laws.
4. Melomaniac collects and processes personal data only as necessary to provide Platform services, including:
   • Payment processing
   • Fraud prevention
   • Platform operations and support
   • Analytics and service improvement
5. Sellers are responsible for fulfilling all GDPR obligations, including rights of access, correction, deletion, restriction, portability, and objection. Melomaniac may assist as feasible.

6. Seller Obligations

Sellers must:

• Provide accurate information and maintain truthful listings
• Deliver products in accordance with descriptions and timelines
• Handle refunds, exchanges, and customer disputes
• Ensure all products and tickets comply with legal and safety requirements
• Respect intellectual property rights; indemnify Melomaniac from IP claims
• Not engage in prohibited activities, including fraud, counterfeit goods, or circumventing Platform fees

7. Melomaniac's Role

1. Melomaniac provides a platform for connecting Sellers and Buyers but does not sell or own any products or tickets.
2. Melomaniac facilitates:
   • Product listing and discovery
   • Payment processing
   • Access to analytics and reporting
   • Limited customer support for technical or Platform issues
3. Melomaniac is not responsible for:
   • Product quality, accuracy, delivery, or legality
   • Refunds, returns, or compensation for products or tickets
   • Issues arising from digital downloads, shipping, or third-party services

8. Intellectual Property

1. Sellers retain ownership of content uploaded to the Platform but grant Melomaniac a non-exclusive license to operate and promote listings.
2. Sellers may not upload content that infringes the rights of third parties.
3. Melomaniac's content, trademarks, and Platform design are protected; use requires written consent.

9. Liability

1. Sellers are solely liable for claims related to their products or tickets.
2. Melomaniac is not liable for indirect, incidental, or consequential damages, except where prohibited by law (e.g., death, personal injury, fraud).
3. Force majeure: Melomaniac and Sellers are excused from non-performance due to events beyond reasonable control (e.g., natural disasters, strikes, internet outages).

10. Termination

1. Melomaniac may suspend or terminate Seller accounts for:
   • Violations of these Terms or Platform policies
   • Legal obligations
   • Inactivity
2. Sellers remain responsible for fulfilling outstanding orders and fees due upon termination.

11. Governing Law and Dispute Resolution

1. These Terms are governed by the laws of the Republic of Estonia.
2. Parties will attempt negotiation first; unresolved disputes may be submitted to the Harju County Court, Estonia.
3. International Buyers and Sellers acknowledge that local consumer protections may apply and cannot be waived.

12. Amendments

Melomaniac may update these Terms at any time. Continued use of the Platform constitutes acceptance of new Terms.

13. Cookies

1. Melomaniac uses cookies for Platform functionality, analytics, and marketing. Essential cookies are mandatory; non-essential cookies require consent.
2. Sellers must comply with applicable cookie and privacy laws when using additional tracking or analytics tools on the Platform.
